What FEMA filings are required after receiving foreign investment?

Within 30 days of receiving funds, Form FC-GPR must be filed on the RBI's FIRMS portal reporting the equity allotment to foreign investors. Annual FCGPR is also required if the company receives FDI.
Can an Indian private limited company accept loans from its shareholders?

Deposits from members are permitted subject to conditions (Form DPT-3, limits linked to paid-up capital). Loans from directors or relatives of directors are treated differently and have specific conditions under Section 73.
What is mandatory for a company before raising a Series A round?

Typical pre-Series A legal tasks: clean corporate records, all ROC filings up to date, a founders' agreement with IP assignment, a signed ESOP scheme, no outstanding MCA notices, and audited financials for at least 2 years.
