ICSI Code of Conduct
Institute of Company Secretaries of India
As Practising Company Secretaries, all members of Ayush Sinha & Associates are obligated to uphold the Code of Conduct prescribed by the Institute of Company Secretaries of India (ICSI) under the Company Secretaries Act, 1980.
1. Integrity and Honesty
A Company Secretary shall be straightforward and honest in all professional and business relationships. Members must not be associated with any information that they believe contains materially false or misleading statements.
2. Objectivity
Members shall not allow bias, conflict of interest, or undue influence to override professional judgement. All professional opinions are rendered without favour or prejudice.
3. Professional Competence and Due Care
Members are required to maintain professional knowledge and skill at the level needed to ensure that clients receive competent professional services, and to act diligently in accordance with applicable technical and professional standards.
4. Confidentiality
Members shall respect the confidentiality of information acquired as a result of professional and business relationships and shall not disclose such information to third parties without proper and specific authority, or unless there is a legal or professional right or duty to disclose.
5. Professional Behaviour
Members shall comply with relevant laws and regulations and shall avoid any conduct that discredits the profession. The ICSI Code prohibits solicitation, touting, and any form of advertisement that is not in keeping with the dignity of the profession.
6. Advertisement and Solicitation Restriction
The Institute of Company Secretaries of India does not permit advertisement or solicitation by its members. Any information on this website is provided at the user's own request and for general informational purposes only. It shall not be construed as an advertisement or solicitation.
7. Compliance with ICSI Guidelines
All members of this firm are governed by the Company Secretaries Act, 1980, the Company Secretaries Regulations, 1982, and the various guidelines and directions issued by ICSI from time to time. In the event of any conflict between this summary and the actual ICSI Code, the ICSI Code shall prevail.
